  1. Acceptance of Terms

    2. By accessing and using the AntioxideTM Value Calculator (the "App"), you agree to comply with and be bound by these Terms of Use (the "Terms"). If you do not agree with these Terms, you must not use the App.

  2. Description of Service

    3. The App provides an estimate of the value of leftover fruit and vegetable materials based on their antioxidant content. The App is provided free of charge for personal use.

  3. User Conduct

    4. You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to use the App:

    • In any way that violates any applicable federal, state, local, or international law or regulation.
    • To exploit, harm, or attempt to exploit or harm minors in any way.
    • To send, knowingly receive, upload, download, use, or re-use any material which does not comply with these Terms.
    • To transmit, or procure the sending of, any advertising or promotional material without prior written consent.

  4. Prohibited Uses

    5. You agree not to:

    • Use any robot, spider, data logger, or other automatic device, process, or means to access the App for any purpose, including monitoring or copying any of the material on the App.
    • Use any manual process to monitor or copy any of the material on the App or for any other unauthorized purpose without our prior written consent.
    • Use any device, software, or routine that interferes with the proper working of the App.
    • Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
    • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the App, the server on which the App is stored, or any server, computer, or database connected to the App.
    • Attack the App via a denial-of-service attack or a distributed denial-of-service attack.
    • Otherwise attempt to interfere with the proper working of the App.

  5. Intellectual Property

    6. All content, features, and functionality of the App are and will remain the exclusive property of Tait Laboratories Inc. and its licensors. The App is protected by copyright, trademark, and other laws of both Canada and foreign countries.

  6. Disclaimer of Warranties

    7. The App is provided on an "AS IS" and "AS AVAILABLE" basis. Tait Laboratories Inc. makes no representations or warranties of any kind, express or implied, as to the operation of the App or the information, content, or materials included on the App. You expressly agree that your use of the App is at your sole risk.

  7. Limitation of Liability

    8. In no event shall Tait Laboratories Inc., its directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the App; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the App; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party; or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the App, whether based on warranty, contract, tort, or any other legal theory, and whether or not [Your Company] is advised of the possibility of such damages.

  8. Indemnification

    9. You agree to defend, indemnify, and hold harmless Tait Laboratories Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the App, or a breach of these Terms.

  9. Governing Law

    10. These Terms shall be governed and construed in accordance with the laws of British Columbia, Canada without regard to its conflict of law provisions.

  10. Changes to These Terms

    11. reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
